OFFICIAL RULES

1. Contest Period: The Sweet American Pie Contest (“Contest”) begins at 12:00:01 p.m. ET on March 12, 2010 and ends at 11:59:59 a.m. ET on May 17, 2010 (“Contest Period”).

2. Eligibility Criteria: Open only to legal residents of the 50 United States and the District of Columbia, who are 18 years of age and older or the age of legal majority in their state of residence as of date of entry, whichever is greater. Enrollees of federally subsidized healthcare programs are not eligible. Employees, shareholders, directors, officers, assigns, representatives and agents of McNeil Nutritionals, LLC (“Sponsor”), Rivet Markcom, Inc., and each of their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, including Don Jagoda Associates, Inc. (“Administrator”) (collectively, “Released Parties”), and members of their immediate families (spouses, parents, children, and siblings and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible. Void where prohibited by law. Contest is subject to all applicable federal, state, and local laws.

3. How To Enter: During the Contest Period, to enter, visit www.Splenda.com (“Contest Website”) and follow the directions provided to complete the entry form, provide your favorite original pie recipe that is made with at least one SPLENDA® Sweetener Product and submit (“Entry”). SEE RECIPE DETAILS (RULE #4 BELOW) FOR ADDITIONAL INFORMATION REGARDING RECIPE REQUIREMENTS. The Entry must: 1) be complete and in English to be eligible; 2) be the property of the entrant; 3) not have been submitted in any other competition or previously published or won any awards; and 4) contain at least one SPLENDA® Sweetener Product. All ingredients, other than SPLENDA® Sweetener Product , must be included in its generic form. Recipes which recommend specific brands for any ingredient will be disqualified. Recipes for any other dish other than a pie will be disqualified. Sponsor reserves the right to substitute alternative ingredients in any submitted recipe for any reason, except for purposes of judging. Recipes will be judged and prepared (if applicable) exactly as they have been submitted. Any Entry deemed inappropriate or unsuitable, not in keeping with Sponsor’s image or that is not in compliance with these Official Rules, as determined by Sponsor in Sponsor’s sole discretion, will be disqualified. Entrants may not copy or otherwise plagiarize the Entry from any source. Any Entry that, in the Sponsor’s sole discretion, violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased or entity, or is otherwise objectionable, will be disqualified. Any Entry not in compliance with the Contest Website requirements will be disqualified. All Entries submitted become the property of the Sponsor and will not be returned. Modifying, enhancing or altering a third party's pre-existing work does not qualify as an original work. No information regarding Entries or judging, other than as otherwise set forth in the Official Rules, will be disclosed. Entries must be received by 11:59:59 a.m. ET on May 17, 2010 to be considered. Limit 5 unique Entries per person/email address. Each Entry must be unique and substantially different from any other Entry submitted by any person/email address, as determined by Sponsor, in order to be eligible.

4. Recipe Requirements: Your original pie recipe must be made with at least one SPLENDA® Sweetener Product. You must name your recipe and list all ingredients with exact U.S. measurements. Include complete directions, kitchen items needed (i.e., pan sizes, required utensils, etc.), timing, temperature, number of servings, and any other relevant information needed to prepare the recipe.

5. Judging: All eligible Entries received will be judged by Administrator who are qualified judges, on or about June 8, 2010, based on the following criteria: Overall Originality of Recipe (25%); Ease of Preparation (25%); and Perceived Taste (50%), to determine 23 Entries (“Finalists”). In the event of a tie, tied Entries will be re-judged by an additional tie-breaking judge using the judging criteria mentioned above. The top 10 Finalists’ Entries will be kitchen tested (i.e., each recipe will be prepared and judged) by a separate panel of judges, selected by Sponsor, and judged on or about July 9, 2010 based on the following criteria: Overall Originality of Recipe (25%); Ease of Preparation (25%) and Overall Taste (50%), to determine the potential Grand, First and Second Prize winners. In the event of a tie during the kitchen-testing phase of judging, ties will be re-judged based solely on Overall Taste. The remaining Finalists will be deemed potential Honorable Mention Prize winners, for a total of twenty (20) Honorable Mention Prize winners. Judges will disqualify previously published recipes, including but not limited to, those in major cookbooks, in magazines, from food companies, on major food or recipe websites and winners in national contests, unless the recipe features changes considered significant by the judges, in their sole discretion. Sponsor reserves the right to not award all prizes and/or select fewer than twenty-three (23) Finalists if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries. Decisions of the Sponsor and judges are final and binding with respect to all matters relating to this Contest.

6. Winner Notification: Potential winners will be notified by phone, mail, and/or e-mail. Potential Grand through Second Prize winners may be required to sign and return an Affidavit of Eligibility, Liability/Publicity Release (where legal) and Assignment of Rights (“Affidavit/Release/Assignment”) within three (3) days of date of notification attempt or the prize will be forfeited and, at Sponsor’s discretion, a runner-up for the prize at issue may be notified. Affidavit/Release/Assignment will be delivered via email to the email address provided on Entry and mailed via overnight mail with a prepaid overnight return envelope included. Each Honorable Mention Prize winner will receive his/her prize via U.S. mail at the address provided by him/her during Entry. Return of prize or prize notification as undeliverable, Sponsor’s inability to contact a potential winner within a reasonable time period or noncompliance with these Official Rules may result in disqualification and, at Sponsor’s discretion, a runner-up for the prize at issue may be notified.

7. Prizes And Approximate Retail Values (“ARV”): Grand Prize (1): A Viking® Range (exact model to be determined by Sponsor) (ARV: $10,000). Delivery and installation is included as part of prize. First Prize (1): A baking prize package, which includes: a Cuisinart® 5.5 qt stand mixer, an Anchor Hocking® 50 pc bakeware set, a Kosta Boda® pie plate, a set of Kosta Boda® pie plates (set of 8), a Maple Pie Board, a Ruffled Pie Dish, a Marble Pastry Board and a Marble Rolling Pin (ARV: $1,500). Second Prize (1): A KitchenAid® stand mixer, a Baker's Secret® 12 piece baking set and a baked goods storage carrier (ARV: $500). Honorable Mention Prize: (20): A sponsor-selected item from Splendidlife.com (not to exceed $20), a $5 coupon off SPLENDA Products and an $8 coupon off SPLENDA Products (ARV: $33 each). Coupons are subject to terms and conditions specified thereon. Total ARV of all prizes: $12,660. No substitution, cash equivalent or transfer of any prize is permitted, except by Sponsor, which reserves the right to substitute a prize (or portion thereof) with an item of comparable or greater value. Prizes are awarded “as is” with no warranty or guarantee, either expressed or implied by Sponsor. All federal, state, and local taxes as well as any costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners, including, but not limited to, Grand Prize winner’s disposal of old oven. All prize details are at Sponsor’s sole discretion.

8. General Rules:
By participating in this Contest, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and judges, which are final and binding in all matters relating to this Contest. Released Parties are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this Contest or for any other problem or error of any kind, whether technical, mechanical, computer, network, printing, typographical, human or otherwise, including, without limitation, any error or problem which may occur in connection with the administration of the Contest, the processing or judging or preparation of the Entries, the announcement of the prizes or in any Contest-related materials. Released Parties are also not liable for damage to any computer system resulting from participation in, accessing or downloading information in connection with this Contest or the Contest Website. Released Parties are not responsible for lost, stolen, delayed, garbled, incomplete, inaccurate, misdirected or late Entries or recipes. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or the Contest Website; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person and void all associated Entries. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right, at its sole discretion, to terminate, modify or suspend the Contest for any reason, including, but not limited to, if the Contest is not capable of running as planned for any reason, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, and, if terminated, to determine the Finalists and/or winners (as applicable) from among all non-suspect, eligible Entries received prior to cancellation using the judging procedure outlined above.

9. Grant of Rights/Publicity Release: By entering the Contest, entrant hereby grants Sponsor, its affiliates, subsidiaries, assigns, licensees, and legal representatives (collectively, “Licensed Parties”) the irrevocable, perpetual, worldwide, royalty-free, fully-paid up license to use, reproduce, edit, market, store, distribute, have distributed, reproduce, re-arrange, change, add to or delete from, translate, adapt, or otherwise revise and/or alter the Entry (including, but not limited to, nutritional/ingredient changes), publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Entry, for editorial, commercial, promotional, regulatory or legal reasons and all other purposes. In addition, entrant hereby grants the Licensed Parties the right to modify your recipe, including entry ingredients and directions to fit within Sponsor’s health/dietary guidelines. In addition, entrant hereby assigns to the Licensed Parties all royalty-free, non-exclusive rights, titles, and interests that entrant may be deemed to have in any reproduction, product, or derivative work using or incorporating the Entry, including but not limited to, photographs of the finished/prepared recipe. Entrant represents and warrants that: (i) all rights to the Entry belong to entrant and the Entry does not and shall not infringe on any copyright or any other third party right nor violate any applicable law or regulation, (ii) entrant has the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the Entry, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity, (iii) entrant hereby indemnifies and holds the Released Parties harmless from and against any third party claim arising from use of the Entry and entrant waives any right to inspect or approve uses of the Entry or to be compensated for any such uses. Participating in the Contest constitutes permission to the Sponsor and its designees to use entrants’ names, biographical information, pictures/portraits, likenesses and/or voices and Entry, for advertising, promotion, trade and other purposes, without further compensation, notification or permission, unless prohibited by law.

10. Limitation of Liability: BY PARTICIPATING, ENTRANTS AGREES THAT RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY ENTRANTS FOR ANY LIABILITY FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE OR PARTICIPATION IN THIS CONTEST. Entrant hereby represents and warrants that he/she has read these Official Rules and is fully familiar with its contents.
